Corporate Law

Our Corporate Law team consists of approximately 25 lawyers, and each of them has their own speciality. As a team, we offer legal assistance in every phase of the life cycle of an organisation. Our clients vary from regional SMEs to multinationals.

A large portion of our work is cross-border, partly in cooperation with our partner firms TLT in the United Kingdom and GSJ advocaten in Belgium.

We are a full-service firm with short lines of communication. When necessary, we call upon the knowledge and expertise of our colleagues in other legal areas, or we work in multi disciplinary case teams. In addition to corporate governance, we have extensive experience and a proven track record in the legal areas listed below.

Our experts in commercial contracts specialise in drafting and reviewing national and international contracts. In addition to that, they advise on competition and anti-trust matters, and they support clients in notification procedures to the Dutch Consumer & Market Authority (ACM) and the Dutch healthcare authority (nZa). Their work is often cross-border, and they cooperate closely with our inhouse international desks, our international partner firms, and other law firms in our extensive global network. Find more detailed information on the page Commercial Contracts.

Our Corporate & Commercial Litigation team supports clients in corporate and commercial disputes. They have extensive experience in proceedings with various bodies, including the Netherlands Enterprise Court at the Amsterdam Court of Appeal, district courts, courts of appeal, in proceedings for interim relief and in national and international arbitration proceedings. They use their expert knowledge of litigation to either conduct proceedings or prevent them when this is more favourable.

The lawyers in our Financing, Securities & Insolvency team are regularly appointed liquidator or administrator in bankruptcies and (provisional) suspensions of payment. This gives them the knowledge to identify possible pitfalls or opportunities for companies that find themselves, or are at the risk of finding themselves, in dire straights. In any insolvency situation they can anticipate the consequences. The team mainly focuses on bankruptcies, restructurings, and insolvency. In addition to that, our lawyers are specialised in the Dutch Act on the Confirmation of Private Restructuring Plans (ACPRP, or WHOA in Dutch).

We believe that every transaction requires a bespoke solution. Our M&A-experts cooperate closely with their clients and external corporate financial advisors in order to achieve the best possible result in a transaction. They will support you with the drafting of contracts and during the negotiation phase, but they also know the importance of legal assistance in pre-transaction structuring and when post-closing issues arise. Our specialists take a commercial, pragmatic, and cost-efficient approach and deliver proactive transaction management. And as a full-service firm we can act as your trusted advisor even after a closing. Find a more detailed description on the page M&A.
